SMARTWEBBY.COM FREE WEB TEMPLATE END USER LICENSE AGREEMENT

IMPORTANT: THIS END USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU AND SMARTWEBBY.COM/JANDUS TECHNOLOGIES. READ IT CAREFULLY BEFORE COMPLETING THE INSTALLATION PROCESS AND USING THE WEB PRODUCT. IT PROVIDES A LICENSE TO USE THE WEB PRODUCT AND CONTAINS LIABILITY DISCLAIMERS. BY INSTALLING AND USING THE WEB PRODUCT, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE WEB PRODUCT AND AGREEING TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT.

1. Definitions

(a) "Smart Webby" means SMARTWEBBY.COM (OWNED BY JANDUS TECHNOLOGIES) and its suppliers and licensors, if any.

(b) "Web Product" means the Web Template Product supplied by Smart Webby herewith, which may also include documentation, associated media, printed materials, and online and electronic documentation.

2. License

SmartWebby.com grants you a nonexclusive limited license to use the web templates in accordance with these Terms and Conditions (the "license") issued by smartwebby.com.

a) LIMITED USAGE GRANTED

You may only use this free template on a single website where the "Designed by SmartWebby.com" phrase and link is retained and viewable on all your pages using this template.

b) MODIFICATIONS

You are authorized to make any necessary modification(s) to our products to fit your purposes.

c) UNAUTHORIZED USE

You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind.

d) ASSIGNABILITY

You may not sub-license, assign, or transfer this license to anyone else without prior written consent from smartwebby.com.

e) OWNERSHIP

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of JANDUS TECHNOLOGIES.

3. Liability Disclaimer

Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall we be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.

4. General Provisions

This EULA shall be governed by the internal laws of India, without giving effect to principles of conflict of laws. This EULA contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written.
